Autoneum to acquire Trèves Group, creating automotive supplier with over CHF 2.9 billion in revenue

The planned acquisition will expand Autoneum's global presence and strengthen its portfolio of acoustic and thermal insulation solutions, with annual synergies of more than CHF 50 million expected by 2029.

Swiss automotive supplier Autoneum has announced an agreement to acquire the French Trèves Group, a specialist in automotive acoustic and thermal insulation, interior trim and trunk solutions. The transaction is expected to create a combined organisation with pro-forma revenue exceeding CHF 2.9 billion in 2026, strengthening Autoneum's position in the global automotive supply industry.

The acquisition is scheduled to close in early 2027, subject to consultation with the relevant employee representative bodies and customary regulatory approvals.

Expanding global production and technology capabilities

Trèves Group employs approximately 4,600 people and generated revenue of around EUR 720 million in 2025. The company operates 26 production facilities in 15 countries across Europe, North and South America, Asia and Africa, supplying a broad range of international automotive manufacturers.

The acquisition will complement Autoneum's existing manufacturing network and product portfolio, particularly in acoustic and thermal management, interior components and vehicle insulation.

It will also expand the Group's presence in important automotive production markets, including Morocco, Romania and Brazil.

Autoneum expects the combination to create opportunities for more efficient production processes, greater internal sourcing and improved capacity utilisation across its global manufacturing network.

Annual synergies of more than CHF 50 million expected

The transaction includes an upfront consideration of approximately EUR 40 million, with a potential additional earn-out payment of up to EUR 24 million depending on EBITDA improvements and synergies achieved by 2029.

The total purchase consideration is therefore capped at EUR 64 million.

More than 80 percent of the upfront payment will be settled through newly issued Autoneum shares, with approximately EUR 7.5 million paid in cash. The newly issued shares will be subject to a three-year lock-up period.

Autoneum has also arranged a CHF 200 million credit facility to finance Trèves' ongoing operations, including refinancing existing bank debt and supporting working capital requirements.

The Group expects annual recurring synergies exceeding CHF 50 million from the third year after closing, primarily through production network optimisation, administrative efficiencies and procurement savings.

Restructuring costs of approximately CHF 60 million are anticipated in 2027 and 2028. The acquisition is expected to contribute positively to earnings per share from 2028.

Strengthening competitiveness in a changing automotive market

“As a family-owned business, Trèves brings a strong heritage, recognized expertise in automotive acoustics and thermal management, and longstanding relationships with leading automotive manufacturers,” said Eelco Spoelder, Chief Executive Officer of Autoneum. “Thanks to this acquisition, we will become an even stronger company with the scale and capabilities needed to succeed in a changing automotive market. It provides substantial opportunities to enhance efficiency, strengthen customer relationships and deliver sustainable earnings growth.”

The acquisition supports Autoneum's existing Level Up strategy, which focuses on improving operational efficiency, strengthening competitiveness and generating sustainable earnings growth.

The combined organisation is expected to provide a broader platform for continued investment in automotive technologies, including solutions for electric vehicles and sustainable materials.

Integration into existing organisational structure

Following completion of the transaction, Autoneum intends to integrate Trèves into its existing organisational structure.

Particular opportunities for operational improvements are expected in Europe, where both companies have significant manufacturing activities. The integration will focus on optimising production networks, sharing operational expertise and increasing the use of internally manufactured materials and components.

Autoneum expects its leverage ratio to be approximately 2.0 times net debt to EBITDA at closing, declining to below 1.5 times over the medium term.

Hans-Peter Schwald, Chairman of Autoneum, also welcomed the planned involvement of Fonds Avenir Automobile, one of Trèves' existing owners, in the future governance of the combined company.

“We are particularly pleased that Fonds Avenir Automobile, one of the Trèves owners will apply to get a representative elected to the Board of Autoneum Holding Ltd at the next Annual Shareholder Meeting, demonstrating confidence in the future prospects of the combined company,” said Schwald. “This aligns the interests of both parties and reflects our shared commitment to realizing the full potential of the combined business.”

The acquisition is expected to close in the first quarter of 2027. Autoneum has confirmed its medium-term profitability targets and will review its other medium-term financial objectives following completion of the transaction.
